(1) A co-operative society's board has as many directors as state law provides, capped at 21, with mandatory reservation of one seat for SC/ST and two seats for women (where the society has such members). (2) Elected board members and office bearers serve five-year terms; casual vacancies can be filled by nomination from the same member category if less than half the term remains. (3) Up to two additional co-opted members with banking/management/finance expertise can join the board (without voting rights in society elections or eligibility as office bearers); functional directors are also board members but don't count toward the 21-director cap.
This sets governance ground rules for co-operative boards - a cap on board size to prevent unwieldy governance, guaranteed minimum representation for SC/ST members and women, a standard five-year term, and room for a small number of outside experts to be co-opted for their specific expertise (though without full voting rights).
This is why a well-governed multi-State co-operative society's board would have defined SC/ST and women's seats built into its structure, rather than leaving representation purely to chance in ordinary board elections.
